1. Parties and Scope
These Terms and Conditions (“Terms”) constitute the entire agreement between:
Dysign SAS (“Dysign”, “we”, “us”), a simplified joint-stock company (SAS) registered in France, operating the website modern-fields.com;
and
any individual or legal entity purchasing a license through modern-fields.com (“Customer”, “you”).
These Terms govern all orders, subscriptions, and use of Modern Fields, a premium WordPress plugin. By completing a purchase, you agree to these Terms in full.
Modern Fields is sold exclusively through modern-fields.com. Any purchase from a third-party source is unauthorized and not supported by Dysign.
2. Product Description
Modern Fields is a premium WordPress plugin that extends the block editor with advanced custom fields capabilities. It is intended for use on WordPress-powered websites.
The plugin is delivered digitally, immediately upon payment confirmation, via a download link and/or a license key sent to the email address provided at checkout.
Dysign reserves the right to modify, improve, or discontinue features at any time, subject to reasonable notice to active subscribers.
3. Ordering and Contract Formation
3.1 Order Process
To place an order, you must:
- Select a license tier on modern-fields.com
- Provide a valid email address and any required billing information
- Review the order summary, including price and license terms
- Confirm the order and complete payment
The contract is formed upon receipt of payment confirmation sent to your email address. Dysign reserves the right to refuse any order at its discretion.
3.2 Order Confirmation
An order confirmation email, including a receipt and your license key, will be sent to the address provided. You are responsible for ensuring this address is accurate and accessible.
3.3 Pre-contractual Information
Before completing your purchase, you will have access to the following information:
- The essential characteristics of the product
- The total price including applicable taxes
- The license tier and number of authorized websites
- The subscription duration and renewal conditions
- The refund and cancellation policy
4. Pricing and Payment
4.1 Prices
All prices are displayed in Euros (EUR) and are exclusive of VAT. Applicable VAT or other taxes will be calculated and displayed at checkout based on your billing country, in accordance with applicable regulations.
Dysign reserves the right to modify prices at any time. Any price change will be communicated before the next renewal and will not affect the current subscription period.
4.2 Payment
Payment is processed securely by Stripe, Inc. Dysign does not store your payment card details. By providing payment information, you authorize Dysign to charge the applicable amount for the initial subscription and for each automatic renewal.
In case of payment failure, access to updates and support may be suspended until payment is regularized.
5. Subscription and Renewal
5.1 Duration
Licenses are sold as annual subscriptions. Each subscription period begins on the date of purchase and expires twelve (12) months later.
5.2 Automatic Renewal
Subscriptions renew automatically at the end of each annual period at the then-current price. You will receive a reminder email at least 7 days before the renewal date.
By purchasing a subscription, you expressly authorize Dysign to charge your payment method on file for each renewal, until cancellation.
5.3 Cancellation
You may cancel your subscription at any time from your account dashboard or by contacting support. Cancellation takes effect at the end of the current billing period. You will retain access to updates and support until that date.
No partial refund is issued for the remaining period after cancellation, except as provided under Section 6 (Refund Policy).
5.4 Effect of Non-Renewal
If a subscription is not renewed, the plugin will continue to function as installed on your website(s). However, the following will no longer be available:
- Software updates and new features
- Access to the license activation system
- Technical support
Dysign is not liable for any compatibility issues or security vulnerabilities resulting from the use of an outdated, unlicensed version of the plugin.
6. Right of Withdrawal and Refund Policy
6.1 Digital Content – Waiver of Withdrawal Right
In accordance with Article L221-28 of the French Consumer Code, the statutory 14-day right of withdrawal does not apply to digital content supplied on a non-tangible medium once performance has begun, provided the Customer has given prior express consent and acknowledged the loss of the withdrawal right.
By completing your purchase and initiating the download of Modern Fields, you expressly acknowledge that performance of the contract begins immediately and that you waive your right of withdrawal accordingly.
6.2 Satisfaction Guarantee
Notwithstanding the above, Dysign offers a voluntary 14-day money-back guarantee from the date of purchase. If you are not satisfied with Modern Fields for any reason, you may request a full refund within this period by contacting support at the email address listed on modern-fields.com.
Refund requests made after 14 days will not be honored. Refunds are processed to the original payment method within 5–10 business days.
The satisfaction guarantee does not apply to subscription renewals. If you wish to cancel before a renewal, you must do so before the renewal date.
7. License Terms
7.1 Underlying License
Modern Fields is distributed under the GNU General Public License version 2 (GPL v2), in compliance with WordPress licensing requirements. The full text of the GPL v2 is available at https://www.gnu.org/licenses/gpl-2.0.html.
7.2 Commercial License Tiers
A paid subscription grants you access to updates, support, and the license activation system, for the following usage scopes:
- Single Site — use on 1 website
- Multi-Site — use on up to 5 websites
- Agency — use on up to 500 websites
Websites may be owned by you or by your clients. Licenses may not be resold, redistributed, or used as part of a hosting, SaaS, or managed service offering to third parties.
7.3 License Upgrade
You may upgrade your license tier at any time. The upgrade price will be prorated based on the time remaining in your current subscription period.
7.4 Non-Transferability
Licenses are personal and non-transferable. They may not be assigned to another individual or legal entity.
7.5 Prohibition of Nulled or Modified Activation Systems
Modern Fields includes a license management system. Regardless of the open-source nature of the GPL v2 code, it is strictly prohibited to:
- Distribute, sell, or use versions of Modern Fields with the license activation system removed or bypassed (commonly referred to as “nulled” versions)
- Modify the plugin to circumvent license validation
- Share license keys with unauthorized parties
Violation of this clause constitutes a breach of these Terms and may result in immediate license termination and legal action.
8. Limitation of Liability
Modern Fields is provided “as is”, without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or compatibility with any specific hosting environment or third-party plugin.
To the maximum extent permitted by applicable law, Dysign shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, revenue, profits, or business interruption, arising from the use or inability to use Modern Fields.
In any event, Dysign’s total liability for any claims arising under these Terms shall not exceed the total amount paid by the Customer in the twelve (12) months preceding the claim.
Nothing in these Terms excludes or limits liability for fraud, gross negligence, or death or personal injury caused by Dysign’s fault, as such limitations are prohibited under French law.
9. Support
Technical support is provided exclusively to Customers with an active subscription. Support is available via the channel indicated on modern-fields.com and is subject to reasonable response times during French business days.
Support covers issues directly related to Modern Fields functionality. Dysign is not responsible for issues arising from third-party plugins or themes, hosting configurations, server environments, or any modifications made to the plugin source code.
Dysign does not guarantee resolution of all reported issues.
10. Intellectual Property
The Modern Fields name, logo, website, and associated documentation and marketing materials are the exclusive property of Dysign SAS and are protected by applicable intellectual property laws. They may not be reproduced or used without prior written authorization.
The plugin source code is distributed under the GPL v2. Nothing in these Terms restricts your rights under that license with respect to the source code itself.
11. Personal Data
Dysign collects and processes personal data (name, email address, billing information) for the purposes of processing orders, managing subscriptions, and providing support. Payment data is processed exclusively by Stripe and is not stored by Dysign.
Your data is processed in accordance with Dysign’s Privacy Policy, available at modern-fields.com/privacy-policy, and with applicable French and European data protection law (GDPR / RGPD).
12. Consumer Mediation
In the event of a dispute that cannot be resolved directly with Dysign, Customers who qualify as consumers under French law have the right to refer the matter to a certified consumer mediator, free of charge, within one year of the initial complaint.
Dysign’s designated mediator is: [Mediator name and contact to be added before launch].
This does not affect your right to take legal action.
13. Changes to These Terms
Dysign reserves the right to update these Terms at any time. Customers will be notified of material changes by email or via a notice on modern-fields.com. Continued use of the plugin or renewal of a subscription after the effective date of changes constitutes acceptance of the updated Terms.
14. Governing Law and Jurisdiction
These Terms are governed by French law. In the event of a dispute, the parties shall first attempt to resolve the matter amicably.
Failing amicable resolution, any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent French courts.
For consumers, mandatory consumer protection provisions applicable in the country of residence shall apply in addition to the above.
